Haupt Brooks Vandruff Cloar is a full-service law firm with a general trial practice emphasis, representing clients in all areas of commercial and civil litigation. Chief Executive Officer and 50% shareholder of a hotel / real estate development and management firm with up to 600 employees, annual revenues in excess of $50,000,000 and offices /properties in 18 states. This is operated with a sister company with similar revenues in addition to these. This firm has had two primary areas of emphasis, commercial hotel management and resort vacation rental management. As recently as 1997, an arm of HG CORP, Reservations International, was the country’s largest manager of resort condominium and private homes for rent.
CENTER PROPERTIES, INC. (Hot Springs, Arkansas). President. 1988-1994. Chief Executive Officer and 100% shareholder of a hotel/real estate management firm doing both owned property management and third party management. While developing and owning such hotel properties as the National Park Hilton Hotel and the Jonesboro Ramada Inn, did significant work for banks on taking over foreclosed properties and preparing them for liquidation. Major clients included Worthen National Bank (now Nations Bank), Chrysler First Business Credit Corporation, and others. While staffing varied widely, it frequently was more than 1500 employees. In one year, more than 5000 individual employees were managed. As well, Center Properties, Inc. owned travel agencies, florists, maintenance companies, car rental agencies and more.

(Hot Springs, Arkansas). Vice President/General Manager. 1985-1989.
Chief Operating Officer for a real estate development company with more than 500 full-time employees and operations, including hotels (2), retirement communities, real estate companies, commercial shopping centers and other investments. While there, developed a 20,000 square foot health club which grew to more than 4500 local members. Managed a timeshare receivables portfolio with more than $30 million in assets.
ING AND ING, INC. (Oklahoma City, Oklahoma).
Controller/General Manager. 1983 - 1985.
Chief financial officer recruited to work out this financially troubled organization. Primarily a restaurant operating company; opened very visible restaurants in central Oklahoma, including The Sand Plum (Guthrie) and Calla, a restaurant (Oklahoma City). Managed and attempted to purchase Shangri-La Resort, site of the 1982 National Governor’s Conference, a resort with annual revenues of about $20,000,000. Catered annually the Oklahoma Statehood Ball. Sponsored a concert series involving some entertainers as Henry Mancini, Victor Borge, Peter Nero, and others. While here, imported for direct use some international products includes wines from southern France, sparkling cider from Normandy, France and bottled water from Austria.

THE WHARF CONDOMINIUMS. Hot Springs, Arkansas. 1985 - 1989. 42 unit timeshare condominium founded in 1981 by a joint venture involving a local savings bank. Tremendously successful, the project sold out in 3 years and continues to operate as a financially stable condominium with over 2000 individual property owners.
SUNBAY RESORT AND BEACH CLUB. Hot Springs, Arkansas. 1985 - 1989. Haupt served as Vice President / General Manager for several individual properties consisting of 3 property owner associations with more than 6000 individual property owners, 2 hotels, multiple restaurants and lounges, a major health club and various other real estate properties, serviced by nearly 350 employees. Founded and operated since 1985, SunBay continues to enjoy tremendous profits and reputation.
SUNBAY MANAGEMENT COMPANY. Hot Springs, Arkansas. 1985 - 1989. Haupt served as Vice President / General Manager of this management company responsible for operating several of the listed real estate and resort properties.

LAKE HAMILTON RESORT AND YACHT CLUB. 1985 - 1989. Hot Springs, Arkansas. Supervised the foreclosure of the unsold timeshare inventory and organized the receivership of the resort.
DIAMONDHEAD DEVELOPMENT CORPORATION. Hot Springs, Arkansas. 1989 - 1990. A 2000 acre community on Lake Catherine outside of Hot Springs. Provided consulting and organizational services.

As director of operations, Haupt was responsible for the daily activities of more than 900 employees, 2 championship golf courses, major health facilities, and more.

An umbrella for several individual properties consisting of 3 property owner associations with more than 6000 individual property owners, 2 hotels, multiple restaurants and lounges, a major health club and various other real estate properties, serviced by nearly 350 employees. HAMILTON INN RESORT. Hot Springs, Arkansas. 1985 - 1998. A 62 room resort with lake/beach frontage. Bought from a local savings bank and developed into a full service resort.
STETSON'S ON THE WHITE. Flippin, Arkansas. 1989 - 1991. A membership trout fishing resort on the White River in northern Arkansas.

SHERATON FOUR POINTS HOTEL. Oklahoma City, Oklahoma. 1998 - present. A 120 room and suite luxury business hotel located on the grounds of Oklahoma City’s Will Rogers World Airport. A state of the industry facility with a first-class restaurant and extensive meeting facilities. The highest ranking hotel by this brand in guest satisfaction in 1998.
PARK HILTON HOTEL. Hot Springs, Arkansas. 1988 - 1991. A 200 room hotel purchased from Bank of America. Originally built in 1986 for $20 million. Increased occupancy and income by 50% over a three year period. Sold the property to an investor group.
ROYALE VISTA INN. Hot Springs, Arkansas. 1989 - 1991. A 205 room hotel owned by a local bank. Managed and sold the hotel out of foreclosure.
HOT SPRINGS INN. Hot Springs, Arkansas. 1990 - 1992. A 75 room motel foreclosed upon by a local bank. Managed and sold the hotel out of foreclosure.
HAMILTON OAKS INN. Hot Springs, Arkansas. 1991 - 1999. A 30 room motel foreclosed upon by a local bank. Managed and converted to condominiums. Sold out in 60 days.
DAYS INN. Jonesboro, Arkansas. 1990. A 60 room motel foreclosed upon by a local bank. Managed the property through the foreclosure until it sold.
RAMADA INN / PARK INN. Jonesboro, Arkansas. 1990 - 1994. A 135 room full service hotel foreclosed upon by a major national lender. Originally appointed receiver for the property, later hired to manage it by the lender, while ultimately purchasing the property.
RAMADA INN. Salt Lake City, Utah. 1993 - present. A 160 room full service motel acquired from corporate Holiday Inn. This property experienced a major renovation and continues to run at a high occupancy.
DAYS INN. Des Moines, Iowa. 1993 - 1998. A 145 room full service motel leased from a trust partnership. Currently undergoing a major renovation.
PLAINS HOTEL. Cheyenne, Wyoming. 1990 - 1999. This unique historic hotel downtown in Wyoming's capital has hosted virtually every president during the first half of this century. Many of its units have recently undergone a major conversion to whirlpool suites.
AIRPORT INN and SUITES. Salt Lake City, Utah. 1989 - 1999. This property owned in partnership with others has been largely utilized for accommodating our contract accounts. Its occupancy routinely exceeds 130%.
JACKPOT INN. Deadwood, South Dakota. 1991 - 1998. This motel is located at the entrance this significant gaming community, anchored by a new major Kevin Costner resort.
RED ROOF INN. Clinton, Oklahoma. 2001 - 2002. This 100 room motel was operated under a management contract after foreclosure, with Frontier State Bank.
TRAVEL INN. Weatherford, Oklahoma. 2001 - 2002. This 26 room motel was operated under a management contract after foreclosure, with Frontier State Bank.
ECONOLODGE. Elk City, Oklahoma. 2001 - 2002. This 46 room motel was operated under a management contract after foreclosure, with Frontier State Bank.
WEST STAR HOTEL AND CASINO. Jackpot, Nevada. 2001 – 2002. This 75 room motel was operating during both Receivership and after foreclosure under contract with C.I.T. Small Business Lending.

RAMADA INN / PARK INN. Jonesboro, Arkansas. 1989 - 1990. A 135 room full service hotel foreclosed upon by a major national lender.
HAMILTON OAKS INN. Hot Springs, Arkansas. 1990 - 1991. A 30 room motel foreclosed upon by a local bank.
CENTRAL AVENUE PROPERTIES. Hot Springs, Arkansas. 1990 - 1992. An office park located along a major thoroughfare. Completely vacant when foreclosed upon by regional bank. Completely leased facility among several tenants within a brief period of time.
BUDGET HOST INN. Oklahoma City, Oklahoma. 1998. This 187 room motel was operated under a court appointed receivership during a time of corporation reorganization.
HOSPITALITY INN. Oklahoma City, Oklahoma. 2001. This 94 room motel was operated under a court appointed receivership on behalf of the debtor and Wells Fargo Bank, the first mortgagee.
WESTSTAR HOTEL AND CASINO. Jackpot, Nevada. 2001. This 75 room hotel and casino was operated during a receivership on behalf of C.I.T. Lending Corp/AT&T Credit.
Real Estate Development
SHERATON FOUR POINTS HOTEL. Oklahoma City, Oklahoma. 1997. Currently developing a 120 room hotel on property owned by the Oklahoma City Airport Trust. This luxury property has a 70 year exclusive land lease on a 10,000 acre airport facility.
FIRST REAL ESTATE DEVELOPMENT CORPORATION. Hot Springs, Arkansas. 1985 - 1989. Vice President of Operations of a major regional resort, timeshare and shopping center developer. Owned and operated more than 600,000 square feet of retail shopping space.
DRIFTWOOD ESTATES. Hot Springs, Arkansas. 1989 - 1990. Managed the project from concept to financing to sales and marketing for this 300 lot development. $1.2 million of lot sales in first 5 weeks. $5,000,000 in 120 days.
INN AT CRYSTAL BEACH. Destin, Florida. 1986 - 1987. Worked on the planning and development of this high-rise luxury condominium on the Gulf Coast beach of Destin, Florida. This elite property sold out at an average price in excess of $250 per square foot.
HOT SPRINGS ATHLETIC CLUB. 1986 - 1989. Hot Springs, Arkansas. Created, designed, equipped and constructed 25,000 square foot health club on 5 acre recreational development.
SOUTHWOOD DEVELOPMENT. 1986 - 1987. Hot Springs, Arkansas. A 25 acre middle income retirement community developed and sold on behalf of various investors.

HOT SPRINGS VILLAGE REMAX / REMAX IN THE PARK. Hot Springs Village and Hot Springs, Arkansas. 1993 - 1994. These two real estate offices were responsible for generating approximately $20 million in annual sales. They were each sold to employees of each agency.
EMERALD COAST REALTY. Destin, Florida. As investors in this full-service general real estate company with 50+ agents, we participated in developing, marketing, and managing 3 large high-rise gulf-front condominiums.
